A complete reproduction or a reproduction in parts or a modification is not allowed without an authorization in written form by EL PATO Ltd. or by the respective principal (see chapters A and B).

12. EL PATO Ltd. reserves the right to not publish commissioned material. In particular, this is the case when the contents obviously offend law and decency, even if it only applies to parts of the material. If the principal wished special usage restrictions, this must be noted together with the placing of order, whereas EL PATO Ltd. accepts no liability for the abidance of the usage restrictions by the consumers. The principal must provide his material free and clear of any third party rights and in accordance with national and international law. EL PATO Ltd. must be indemnified from third party claims by the principal, possible disadvantages and costs including legal expenses in case of an advocacy against third party claims must be made up for by the principal. EL PATO Ltd. will not be responsible for any error, omission or inaccuracy in advertising material, and reserves the right to omit, suspend or change the position of any advertising material submitted for insertion.

15. EL PATO Ltd. has no influence on the usage of the published contents just as little as for a possible review and editing of the material by the consumer. EL PATO Ltd. disclaims any liability for this. EL PATO Ltd. is not obliged to prevent the distribution of material by users further than the demand for omission. EL PATO Ltd. is willing to cede any claims against third parties to the principal by request.
16. If material is distributed to e-mail addresses that the principal makes available to EL PATO Ltd. for this purpose, EL PATO Ltd. is not liable for the reliability of this transmission path to the respective recipients. EL PATO Ltd. must be indemnified from third party claims by the principal, possible disadvantages and costs including legal expenses in case of an advocacy against third party claims must be made up for by the principal.
17. Basically, EL PATO Ltd. tries to publish any material as quickly as possible. If non-digital material is provided, this must be digitised by EL PATO Ltd. EL PATO Ltd. does not accept any liability for the time lag caused by the digitalisation and for possible editing errors insofar as it is not a case of gross negligence.
18. If translations are made on customer order, EL PATO Ltd. does only accept liability for negligent selection with gross negligence.

19. EL PATO Ltd. reserves the right to decline or to freeze advertising objectives if the agency arrives at the conclusion that
1. the contents of which offend laws or official regulations or
2. the contents of which are objected by the association "Deutscher Werberat" in an appellant process or
3. the publication of which is unacceptable for EL PATO Ltd. for reasons of contents, origin or technical form.
20. In particular, EL PATO Ltd. can freeze any published advertising material if the principal himself modifies the contents of the advertising material after publishing or if he changes any linked data after publishing and if the conditions mentioned above are fulfilled through this. Provided that one of aforesaid cases is given, EL PATO Ltd. will inform the principal immediately that the advertising material will not be published or frozen respectively. In the cases described here, EL PATO Ltd. assigns any claims, in particular any claims for damages, to the principal. EL PATO Ltd. must be indemnified from third party claims by the principal, possible disadvantages and costs including legal expenses in case of an advocacy against third party claims must be made up for by the principal.

21. The website of PHARMA ADHOC is offered under the reserve of technical availability, in particular in terms of necessary maintenance works and failures due to malfunctions. EL PATO Ltd. does not accept any liability for time lags in the distribution channel for whatever reasons and for the impossibility of performance for technical reasons of the distribution channel. Furthermore, EL PATO Ltd. does not accept any liability if the recipients or third parties edit, offer or forward the provided material despite the demand for omission and time lag.
22. EL PATO Ltd. does not accept any liability for external links although all contents are checked carefully.
23. Every user engages to provide correct and complete information in the context of the user registration for PHARMA ADHOC. Users may not impinge upon rights of third parties, for example by using individual-related information or other data of third parties without their consent. The responsible user is liable towards EL PATO Ltd. if claims of third parties are asserted because of the usage of this information.
24. Using password-protected web interfaces the user alone is responsible for the secrecy of the user name and the password. The user is liable towards EL PATO Ltd. for all disadvantages that result from the unauthorised usage of the access protection by third parties.
25. No user may save or send data via PHARMA ADHOC that are appropriate by their form, size or number to endanger the existence or the operation of the service or to impinge the rights of third parties (e.g. viruses, spam-mails etc.).
26. EL PATO Ltd. is not liable for damages caused by an accidental forwarding of viruses, worms, Trojans or spams.
27. In case of a culpable violation of the terms and conditions, the user is liable towards EL PATO Ltd. for the compensation of all direct and indirect damages including financial loss caused by this. In the inner relationships, the user indemnifies EL PATO Ltd. from possible claims of third parties resulting from these violations.
28. EL PATO Ltd. reserves the right to block individual users from the access to PHARMA ADHOC and to delete the data of the respective user.
29. EL PATO Ltd. reserves the right to set up and to change office hours.
30. EL PATO Ltd. reserves the right to modify PHARMA ADHOC or parts of the service without separate announcement or to discontinue the publication temporarily or ultimately. This also applies to the information saved by the user in the systems of EL PATO Ltd.
31. EL PATO Ltd. is not liable for the loss of user data, if this is not caused intentionally or by gross negligence.

33. Oral agreements are only valid if they are confirmed in written form.
34. If a part of these conditions is null and void, this does not apply to the all conditions; it is rather that approvable regulation that comes as close as possible to the economic interests of the parties that shall apply.
35. German law applies. Court of jurisdiction and place of execution is Berlin.
